1. Acceptance of Terms

By accessing or using 9JAstore.com (“the Platform”), you agree to be bound by these Terms and Conditions. The Platform is owned and operated by BaxChain Network Limited, a company duly incorporated under the laws of the Federal Republic of Nigeria and registered with the Corporate Affairs Commission (CAC) under registration number 6942399.

Our registered office is located at 24 DE MILES PLAZA, GLO MASS ROAD, Otefe-Oghara, Delta State, Nigeria.

2. Definitions

“Vendor” refers to any individual or business that registers on the Platform to sell products, services, or listings.
“Customer” refers to any individual who purchases products or services through a Vendor’s storefront on the Platform.
“Platform” refers to 9JAstore.com and all associated services, APIs, and applications.
“We,” “Us,” “Our” refers to BaxChain Network Limited.
“Marketplace” refers to the online environment where Vendors list and sell goods/services and Customers browse and purchase them.

3. Nature of the Platform

9JAstore is a marketplace platform that provides technology, payment processing, and logistics tools to enable independent Vendors to operate their own online stores and sell directly to Customers. 9JAstore does not own, manufacture, or sell any products or services listed by Vendors. The contractual relationship for each sale exists directly between the Vendor and the Customer. 9JAstore’s role is limited to providing the marketplace infrastructure and facilitating payment processing.

4. Account Registration

To use certain features of the Platform, you must register for an account. You agree to:

Provide accurate, current, and complete information during registration
Maintain the security of your password and account credentials
Accept responsibility for all activities that occur under your account
Notify us immediately of any unauthorized use of your account

We reserve the right to suspend or terminate accounts that violate these Terms or engage in fraudulent activity.

5. Vendor Responsibilities

As a Vendor on the Platform, you agree to:

Provide accurate descriptions and images of your products/services
Set fair and transparent pricing in Nigerian Naira (₦)
Fulfill orders promptly and in good faith
Respond to customer inquiries within a reasonable timeframe
Comply with all applicable Nigerian laws, including consumer protection regulations (Federal Competition and Consumer Protection Act 2018)
Not sell prohibited, counterfeit, or illegal items
Maintain adequate stock for listed products or accurately reflect availability
Handle refund and return requests in accordance with the Platform’s Refund Policy
Maintain accurate bank account details for payout processing

Vendor Payments: All vendor earnings from online transactions are processed through the Platform. A platform commission is deducted from each successful transaction. Remaining earnings are paid out to the Vendor’s registered bank account. Vendors may not circumvent the Platform’s payment system for transactions initiated through 9JAstore.

6. Customer Responsibilities

As a Customer, you acknowledge that:

You are purchasing directly from the Vendor, not from 9JAstore
You must provide accurate delivery and contact information
You should inspect delivered goods promptly and report any issues to the Vendor
You must make payments through the approved payment methods on the Platform
You must not engage in fraudulent transactions, false claims, or unjustified chargebacks
Product quality, authenticity, and fulfillment are the responsibility of the Vendor

7. Payments and Fees

Payment processing is handled through our secure payment gateway for card/online payments, and manual bank transfer/cash on delivery for applicable plans.
The Platform charges a commission on successful transactions as specified in the applicable subscription plan.
Vendor payouts are processed to registered bank accounts according to our payout schedule.
Subscription fees (Standard: ₦5,000/month; Premium: ₦28,000/month) are billed in advance and are non-refundable except as provided in our Refund Policy.
Free-tier Vendors are limited to bank transfer payments only and do not have access to shopping cart, automated checkout, or automated logistics features.

8. Intellectual Property

The Platform, its original content, features, and functionality are owned by BaxChain Network Limited and are protected by Nigerian and international intellectual property laws. Vendors retain ownership of their product images, descriptions, and branding content uploaded to the Platform. By uploading content, Vendors grant 9JAstore a non-exclusive license to display and distribute such content on the Platform.

9. Prohibited Activities

You may not:

Use the Platform for any unlawful purpose or activity
Sell prohibited items including drugs, weapons, counterfeit goods, or stolen property
Attempt to gain unauthorized access to other users’ accounts or Platform systems
Transmit viruses, malware, or other harmful code
Scrape, data-mine, or reverse-engineer any part of the Platform
Circumvent payment processing to avoid Platform fees
Post false, misleading, or defamatory content
Engage in price manipulation, fake reviews, or other deceptive practices

10. Delivery and Shipping

The Platform integrates with automated logistics partners for delivery services across all 36 Nigerian states and FCT. Delivery costs are estimated at checkout based on destination state and order weight. Actual delivery times may vary. 9JAstore is not directly responsible for delivery delays caused by third-party logistics providers, natural disasters, or circumstances beyond reasonable control. Delivery disputes should first be directed to the Vendor.

11. KYC Verification

Premium-tier Vendors may complete a Know Your Customer (KYC) verification process to obtain a verified badge on their storefront. KYC verification is processed through our secure identity verification partner and may include BVN or NIN verification. The verified badge indicates that the Vendor’s identity has been confirmed but does not constitute a guarantee or endorsement of the Vendor’s products or services by 9JAstore.

12. Dispute Resolution

In the event of a dispute between a Vendor and a Customer:

Both parties are first encouraged to resolve the matter directly using the Platform’s communication tools (WhatsApp, messaging, call)
If direct resolution fails, either party may escalate to 9JAstore support for mediation
9JAstore’s mediation decision is binding for transactions under ₦100,000
Disputes not resolved through mediation shall be subject to arbitration under the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria 2004)
The governing law shall be the laws of the Federal Republic of Nigeria

13. Limitation of Liability

To the maximum extent permitted by Nigerian law, BaxChain Network Limited shall not be liable for:

Any indirect, incidental, special, or consequential damages
Loss of profits, revenue, data, or business opportunities
The quality, safety, legality, or authenticity of items sold by Vendors
Any transaction between Vendors and Customers, including but not limited to non-delivery, product defects, or misrepresentation
Service interruptions caused by factors beyond our control

Our total liability shall not exceed the amount of fees paid by you to the Platform in the 12 months preceding the claim.

14. Termination

We may suspend or terminate your access to the Platform at any time, with or without cause, and with or without notice. Upon termination, your right to use the Platform ceases immediately. Outstanding vendor payouts for fulfilled orders will still be processed. Provisions that by their nature should survive termination shall survive.

15. Amendments

We reserve the right to modify these Terms at any time. Changes will be posted on this page with an updated date. Continued use of the Platform after changes constitutes acceptance of the revised Terms.
